These Free Trial Terms & Conditions (“Terms”) govern your access to and use of the free trial of the Sekant Security Inc. software and services (the “Service”).
Sekant Security Inc. (“Sekant,” “we,” “us,” or “our”) is a Delaware corporation.
By registering for, accessing, or using the Free Trial, you acknowledge that you have read, understood, and agreed to these Terms, our Privacy Policy, and any other terms expressly incorporated into these Terms.
If you do not agree to these Terms, do not register for, access, or use the Free Trial or Service.
Sekant may provide eligible users with a 14-day free trial of the Service (the “Free Trial”).
The Free Trial begins when you successfully register for an account, unless otherwise stated during registration.
The Free Trial is provided solely for the purpose of evaluating the Service.
Sekant may, at its discretion, determine eligibility for the Free Trial and may limit, refuse, suspend, or terminate Free Trial access where it reasonably believes that a user has previously used a Free Trial, is attempting to circumvent trial limitations, or is otherwise misusing the Free Trial.
Sekant may modify, restrict, suspend, or discontinue any feature or functionality of the Free Trial at any time.
The Free Trial does not require payment or credit-card information.
The Free Trial does not automatically convert into a paid subscription when the 14-day trial period expires.
Sekant will not charge you solely because your Free Trial expires.
If Sekant offers paid plans or subscriptions, any purchase of a paid plan will require a separate action by you and will be governed by the applicable paid-service terms.
You must provide accurate, current, and complete information when creating an account.
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
You must promptly notify Sekant if you become aware of unauthorized access to or use of your account.
You may not create an account or use the Service for fraudulent, unlawful, abusive, or unauthorized purposes.
You are solely responsible for determining whether your registration for, access to, and use of the Free Trial and Service is permitted under the laws and regulations applicable to you, your organization, your location, and your intended use.
You must use the Service only in compliance with all applicable laws and regulations.
Do not register for, access, or use the Free Trial or Service if doing so would violate any law or regulation applicable to you.
Sekant does not represent or warrant that the Service is appropriate, available, or legally permitted for use in every jurisdiction or for every intended purpose.
You are responsible for obtaining any permissions, consents, licenses, or authorizations required for your use of the Service.
You agree not to use the Service:
Sekant may suspend or terminate access where it reasonably believes that the Service is being used in violation of these Terms or applicable law.
You retain ownership of data, files, content, configurations, information, and other materials that you submit, upload, transmit, or otherwise provide to the Service (“Your Data”).
You are solely responsible for Your Data, including its accuracy, legality, completeness, and your right to provide or process such data through the Service.
You are also responsible for determining whether you have the necessary rights, permissions, consents, and legal basis to submit or process Your Data through the Service.
The Service is not intended to be your sole backup, archival, disaster-recovery, or permanent storage solution.
You are solely responsible for maintaining independent backups of any data, files, configurations, or other information that is important to you.
To the maximum extent permitted by applicable law, Sekant is not responsible for loss, corruption, deletion, alteration, destruction, or inability to access Your Data resulting from your use of the Service, technical failures, user error, account expiration or termination, third-party services, security incidents, or circumstances outside Sekant's reasonable control.
Your Free Trial expires automatically 14 days after registration.
When the Free Trial expires, Sekant may:

Sekant does not guarantee that Your Data will remain available following expiration of the Free Trial.
Sekant does not guarantee that deleted, lost, corrupted, or inaccessible data can be recovered.
You acknowledge that loss of access to Your Data following expiration or termination of the Free Trial is a foreseeable consequence of using a time-limited Free Trial.
The Free Trial is provided for evaluation purposes only.
Unless expressly agreed otherwise in writing by Sekant, you should not use the Free Trial as your sole system for:

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
Sekant does not guarantee that the Service will:

Sekant reserves the right to modify, suspend, or discontinue any portion of the Service or Free Trial at any time.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE FREE TRIAL, SERVICE, SOFTWARE, FEATURES, CONTENT, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEKANT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND SATISFACTORY QUALITY.

You acknowledge that you are using the Free Trial for evaluation purposes and accept the associated risks.
Nothing in these Terms excludes or limits any warranty, right, remedy, or protection that cannot legally be excluded or limited under applicable law.
Sekant implements measures intended to protect the Service and information processed through it.
However, no software, online service, electronic transmission, network, or storage system can be guaranteed to be completely secure.
You acknowledge that security vulnerabilities, unauthorized access, cyberattacks, data breaches, service interruptions, malicious activity, and other security incidents may occur despite reasonable security measures.
To the maximum extent permitted by applicable law, Sekant does not warrant or guarantee that the Service will be completely secure or immune from vulnerabilities, attacks, unauthorized access, or other security incidents.
Nothing in this section is intended to disclaim obligations that cannot legally be disclaimed or to override any separate written agreement between you and Sekant that expressly provides otherwise.
The Service may depend upon, integrate with, or interact with third-party services, platforms, APIs, cloud infrastructure, hosting providers, software, networks, or other technologies (“Third-Party Services”).
Third-Party Services may be subject to separate terms and privacy policies.
Sekant does not control Third-Party Services and, to the maximum extent permitted by applicable law, is not responsible for their availability, performance, security, reliability, content, actions, omissions, or failures.
A failure, interruption, modification, or discontinuation of a Third-Party Service may affect the Service.
You acknowledge that the Free Trial is provided without charge and without any obligation to purchase a paid subscription.
You further acknowledge that Sekant is providing the Free Trial for evaluation purposes and is not receiving payment from you for your use of the Free Trial.
To the maximum extent permitted by applicable law, the absence of payment is a material part of the allocation of risk reflected in these Terms, including the disclaimers and limitations of liability contained herein.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEKANT SECURITY INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS SHALL HAVE NO LIABILITY TO YOU ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE FREE TRIAL OR SERVICE.
To the maximum extent permitted by applicable law, Sekant will not be liable for any loss, damage, cost, expense, claim, or liability arising out of or relating to:

The limitations and exclusions in this section apply regardless of the legal theory on which a claim is based, including contract, warranty, tort, negligence, strict liability, statute, or otherwise, and even if Sekant has been advised of the possibility of such damages.
Because the Free Trial is provided at no charge, you acknowledge and agree that the allocation of risk and limitation of liability in these Terms is a material part of the agreement between you and Sekant.
Nothing in these Terms excludes, restricts, or limits any liability, right, remedy, warranty, or protection that cannot lawfully be excluded, restricted, or limited under applicable law.
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Sekant Security Inc., its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Sekant may suspend or terminate your access to the Free Trial or Service at any time if:

You are responsible for ensuring that you have all rights, permissions, consents, and lawful bases necessary for any personal information or other data that you submit to the Service.
Nothing in these Terms is intended to exclude or limit rights or obligations arising under applicable data-protection, privacy, or consumer-protection laws.
Do not use the Free Trial or Service if its use is prohibited by applicable law.
You are responsible for determining whether your use of the Service is lawful in your jurisdiction and for your particular circumstances.
Sekant does not guarantee that the Service is available, suitable, or legally permitted in every jurisdiction.
Sekant may restrict access to the Service from particular jurisdictions or locations where it reasonably determines that such restriction is necessary or appropriate.
The Service, including its software, technology, interfaces, designs, trademarks, documentation, and other materials provided by Sekant, is owned by or licensed to Sekant and is protected by applicable intellectual-property laws.
Except for the limited right to use the Free Trial during the applicable trial period, these Terms do not grant you any ownership interest in the Service or Sekant's intellectual property.
You may not copy, reproduce, distribute, sell, sublicense, lease, modify, or create derivative works of the Service except as expressly permitted by Sekant or applicable law.
If you voluntarily provide suggestions, ideas, recommendations, bug reports, or other feedback regarding the Service (“Feedback”), you grant Sekant the right to use, reproduce, modify, and incorporate such Feedback into its products and services without compensation or obligation to you.
You retain ownership of any intellectual property rights you may have in your Feedback, subject to the foregoing license.
Sekant may update these Terms from time to time.
If we make material changes, we may provide notice where required by applicable law.
Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
These Terms will be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles, except to the extent that mandatory applicable law provides otherwise.
Subject to applicable mandatory law, any dispute arising out of or relating to these Terms or the Free Trial shall be subject to the jurisdiction of the applicable state or federal courts located in Delaware.
Nothing in this section is intended to deprive a consumer of any mandatory rights or protections available under the laws applicable to that consumer.
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Failure by Sekant to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision in the future.
These Terms, together with the Sekant Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and Sekant concerning the Free Trial and supersede prior or contemporaneous communications concerning the Free Trial, except for any separate written agreement expressly entered into between you and Sekant.
